Intended dividend policy

  • Nutrien expects to target a stable and growing dividend that reflects the anticipated strengthened cash flow profile of the combined companies. Subject to market conditions and Nutrien Board approval, we expect to establish a dividend payment similar to the previous Agrium level of dividends, adjusted for the number of Nutrien Shares outstanding. The amount of future dividends, if any, and the declaration and payment thereof will be based upon Nutrien’s financial position, results of operations, cash flow, capital requirements and restrictions under its revolving bank lines, as well as broader market and economic conditions, among other factors, and shall be subject to Board approval and be in compliance with applicable law. Nutrien's board will have the power to amend Nutrien's dividend policy in any manner and at any time, including the power to suspend or discontinue the payment of dividends in the future.

Notice regarding dividend currency

  • Any dividends payable on Nutrien’s common shares will be declared in U.S. dollars. Registered shareholders (i.e. shareholders whose common shares are registered in the holder's name) who are Canadian residents as reflected in Nutrien's shareholder register, as well as beneficial holders (i.e. shareholders who hold their common shares through a broker or other intermediary) whose intermediary is a participant in CDS Clearing and Depository Services Inc.or its nominee, CDS & Co., receive their dividends in Canadian dollars. The Canadian dollar equivalent of the dividend is based on the Bank of Canada exchange rate on the record date for the applicable dividend. Registered shareholders resident outside of Canada as reflected in Nutrien’s shareholders register, including the United States, as well as beneficial holders whose intermediary is a participant in The Depository Trust Company or its nominee, Cede & Co., will receive any dividends in U.S. dollars.
  • Registered shareholders may elect to change the currency of dividend payments by contacting Nutrien's registrar and transfer agent, AST Trust Company (Canada), directly at: AST Trust Company (Canada), P.O. Notice to Canadian residents regarding tax eligibility of Nutrien dividends

  • Any dividends, or deemed dividends, paid by Nutrien will be pursuant to subsection 89(14) of the Income Tax Act, designated as eligible dividends. An eligible dividend paid to a Canadian resident is entitled to the enhanced dividend tax credit.
